This Affiliate Program Agreement ("Agreement") is made and entered into by AdvantageForAll LTD ("Company" or “KEYMONO” or “We” or “Us”) and you ("Affiliate")
The following terms are defined in this section of the KEYMONO Affiliate Program Terms & Conditions:
1. "Affiliate": refers to the individual or entity who has signed up to participate in the KEYMONO Affiliate Program.
2. "KEYMONO": refers to AdvantageForAll LTD, the company operating the website https://keymono.gg.
3. "Mokos" or "MokoYen": refers to the virtual currency used on the KEYMONO website.
4. "Referral": refers to an individual who has been directed to the KEYMONO website through the Affiliate's unique referral link.
5. "Commissions": refers to the payment made to the Affiliate for referred users' earned Mokos.
6. "Program": refers to the KEYMONO Affiliate Program.
The Affiliate Program at KEYMONO is a referral program that enables users and webmasters to earn rewards by promoting KEYMONO and its services. The program is designed to benefit both the platform and its affiliates, by providing a way for affiliates to earn income through promoting the website and its offerings.
As an affiliate, you can refer other users to KEYMONO and earn a commission from the Mokos they earn while participating in the various tasks and offers available on the website. Additionally, webmasters can sign up for the program and earn a commission based on the revenue generated by the users they refer.
The purpose of the Affiliate Program Terms & Conditions is to outline the rules and guidelines that govern the program, and to protect both KEYMONO and its affiliates. These terms and conditions serve as a binding agreement between KEYMONO and its affiliates, and must be read and understood by all participants before joining the program. By participating in the Affiliate Program, affiliates agree to comply with these terms and conditions, and acknowledge that any violations may result in the termination of their affiliate account and the forfeiture of any earned rewards.
The Affiliate Program at KEYMONO is open to all individuals who meet the eligibility criteria established by the company. To become an affiliate, one must meet the following qualifications:
Qualification Criteria for Affiliates
In order to participate in the Affiliate Program, an individual must have an active KEYMONO account, be at least 18 years of age, and be a resident of a country where participation in the Affiliate Program is not prohibited. Additionally, an affiliate must agree to comply with all applicable laws and regulations, as well as with the Terms & Conditions of the Affiliate Program.
Age and Residency Restrictions
Only individuals who are 18 years of age or older and are residents of a country where participation in the Affiliate Program is not prohibited are eligible to participate in the Affiliate Program.
Webmaster Commission
i) Fixed Sum or Percentage of Income Generated: KEYMONO also offers its affiliates the opportunity to earn a commission as webmasters. This commission can either be in the form of a fixed sum, which may vary, or a percentage of the income generated from the referred user. The amount of commission paid will be determined by KEYMONO and may change from time to time.
ii) Currency for Payment: The webmaster commission will be paid out in a "currency," such as US dollars, Euros, or other currencies. The currency for payment will be determined by KEYMONO and may change from time to time based on various factors, including but not limited to exchange rates and payment processing fees. KEYMONO reserves the right to change the currency for payment at any time without prior notice to affiliates.
Participating in the Referral Program
To participate in the referral program, affiliates are required to sign up and become a member of the KEYMONO Affiliate Program. After signing up, affiliates will be given unique referral links, coupons, and banners to share with their friends, family, and followers. By sharing these links, affiliates can earn a commission for every referred user that signs up for KEYMONO and earns Mokos.
Tracking of Referrals
KEYMONO uses a sophisticated tracking system to track all referrals made by affiliates. This tracking system allows affiliates to monitor their progress and earnings in real-time. Each referral is assigned a unique referral ID that is used to track the activity of the referred user. The referral ID is embedded in the unique referral link that is provided to affiliates after signing up for the referral program.
The tracking system is designed to accurately record all referrals made by affiliates and the corresponding earnings. If there is a dispute or discrepancy in the tracking system, KEYMONO reserves the right to investigate and resolve the issue in its sole discretion. In order to maintain the accuracy and integrity of the referral program, affiliates are prohibited from engaging in any behavior that could interfere with the tracking system or manipulate their earnings.
It is important to note that all income generated by AdvantageForAll LTD through KEYMONO is derived from advertisers. Advertisers pay a fee for every referred lead. In the event that an advertiser or advertising network does not pay the fee for a specific sale or lead, or fails to pay in its entirety, the Company reserves the right to withhold payment to the relevant affiliate(s). However, every effort will be made to rectify the issue in a timely manner.
It is important for affiliates to understand the role of advertisers in determining their income through the affiliate program. This section serves to provide clarity and transparency regarding the income generation process and payment considerations. By participating in the program, affiliates agree to these terms and understand the inherent risks involved in relying on advertiser payment. However, the Company will make all reasonable efforts to ensure the stability and reliability of the payment process, but cannot guarantee the performance of advertisers.
In order to maintain the integrity of the affiliate program and ensure the highest quality service to our advertisers, the Company reserves the right to exercise discretion in the approval of any sales or leads referred through the program. This means that, in certain circumstances, we may choose to not approve a sale or lead even if it was generated through the efforts of an affiliate.
Reasons for Discretionary Approval
Fraudulent Activity: In cases where fraudulent activity is suspected or confirmed, we may choose to not approve the sale or lead. This helps to protect the integrity of the affiliate program and ensures that all affiliates are adhering to ethical business practices.
Quality Assurance: We also reserve the right to exercise discretion in order to maintain the quality of the leads and sales referred through the program. This means that, in some cases, we may choose to not approve a sale or lead if it does not meet our standards for quality.
Advertiser Request: In some cases, an advertiser may request that we not approve a specific sale or lead. In such cases, we will consider the request and make a decision based on the best interests of the advertiser, the affiliate program, and the overall integrity of the network.
Please note that this discretionary approval process is in place to ensure the best possible experience for both our affiliates and advertisers. We will always do our best to be fair and transparent in our decision-making and to provide clear reasons for any approvals or rejections.
Payment Schedule
The payment schedule for the affiliate program at KEYMONO will be specified and agreed upon at the time of the affiliate's enrollment in the program. Payments for referral commissions and webmaster commissions will be made on a recurring basis, typically on a monthly basis. The exact payment schedule will depend on the individual agreement with each affiliate and may be subject to change.
Payment Methods
KEYMONO offers a variety of payment methods to affiliates, including electronic transfers such as PayPal, bank transfers, and more. The specific payment method will be agreed upon at the time of the affiliate's enrollment in the program and may be subject to change. KEYMONO will make all reasonable efforts to ensure that payments are made promptly and accurately.
Minimum Payment Threshold
KEYMONO may set a minimum payment threshold for affiliates to receive their referral commission and webmaster commission payments. This threshold may vary and will be agreed upon at the time of the affiliate's enrollment in the program. Any payments below this minimum threshold may be held until the next payment cycle or until the minimum threshold is met. This threshold is designed to ensure that affiliates are not burdened with excessive processing fees for smaller payment amounts and to ensure efficient payment processing for KEYMONO.
a) Accuracy of commission calculations: KEYMONO takes full responsibility for accurately calculating and recording all commissions due to affiliates. The company will use commercially reasonable efforts to ensure the accuracy of all commission calculations, but will not be liable for any errors or omissions. In the event that an error or omission is discovered, KEYMONO will take the necessary steps to rectify the error and ensure that the affiliate is paid the correct amount due.
b) Availability of support for affiliates: KEYMONO is committed to providing support to its affiliates in order to help them maximize their earning potential. The company will make its best efforts to provide prompt and helpful support to affiliates via email and phone, during its normal business hours. KEYMONO will respond to all inquiries in a timely and professional manner and will make every effort to resolve any issues that may arise in a prompt and satisfactory manner. However, KEYMONO does not guarantee that it will be able to resolve all issues, and is not responsible for any losses or damages that may result from any issues that are not resolved.
Termination by KEYMONO
KEYMONO reserves the right to terminate an affiliate's participation in the Affiliate Program at any time and without prior notice. This can be done in case of any breach of these terms and conditions or if the affiliate engages in any unethical or inappropriate behavior that negatively impacts KEYMONO. Upon termination, all rights granted to the affiliate shall immediately cease, and the affiliate must remove any links to KEYMONO from their website or any other marketing materials.
Termination by Affiliates
Affiliates may choose to terminate their participation in the Affiliate Program at any time by giving written notice to KEYMONO. Upon termination, the affiliate must remove any links to KEYMONO from their website or any other marketing materials. Termination will result in the forfeiture of any earned, but unpaid, commissions. KEYMONO will not be liable for any compensation or damages to the affiliate upon termination.
The Affiliate Program at KEYMONO operates under certain terms and conditions which are subject to change from time to time. In order to ensure the smooth functioning of the program and to keep it aligned with the current business practices, KEYMONO reserves the right to modify the Terms & Conditions at any time without prior notice.
KEYMONO recognizes the importance of clear and transparent terms and conditions for its affiliates, which is why any changes made to the terms will be updated on the website and communicated to the affiliates through email or other appropriate means. The changes will take effect immediately upon posting or communication and will be binding for all affiliates.
It is the responsibility of the affiliates to regularly check the website or their email for any updates or changes to the terms and conditions. Continuing to participate in the Affiliate Program after changes have been made will be deemed as acceptance of the modified terms.
In case an affiliate does not agree with the changes made to the terms, they have the right to terminate their affiliation with KEYMONO by following the termination process outlined in the Terms & Conditions.
The Affiliate Program of KEYMONO is governed by and construed in accordance with the laws of the United Kingdom, specifically the state of London, where the Company AdvantageForAll LTD is registered. Any disputes arising from or in connection with this Affiliate Program shall be resolved in accordance with the laws of the United Kingdom.
It is the responsibility of each affiliate to ensure that they comply with all laws, regulations and rules that may apply to their participation in the Affiliate Program. KEYMONO makes no representation that participation in the Affiliate Program is appropriate or available for use in all locations. The affiliates are responsible for ensuring that they comply with all local laws, including without limitation, all tax laws, relating to their participation in the Affiliate Program.
The choice of law and jurisdiction in London, United Kingdom, shall be binding for all parties involved in the Affiliate Program and the parties agree to submit to the exclusive jurisdiction of the courts of London, United Kingdom, for any legal action arising from or in connection with this Affiliate Program.
KEYMONO is committed to resolving any disputes that may arise between affiliates and the company in an amicable and efficient manner. To this end, KEYMONO has established the following mechanism for resolving disputes:
1. Communication: The first step in resolving any dispute is to engage in open and honest communication. Affiliates are encouraged to reach out to KEYMONO’s customer support team to express any concerns or questions they may have.
2. Meditation: If the issue cannot be resolved through communication, KEYMONO may suggest mediation as a means of resolving the dispute. Mediation is a confidential and informal process in which a neutral third-party mediator helps the parties reach a mutually acceptable solution. Mediation will be conducted in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR).
3. Binding Arbitration: If the parties are unable to resolve the dispute through negotiations, the dispute shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The place of arbitration shall be London, United Kingdom. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding upon the parties and may be entered as a judgment in any court having jurisdiction thereof. The parties shall each bear their own costs incurred in connection with the arbitration and shall share equally the fees and expenses of the arbitrator.
4. Court Action: If the above mechanisms for resolving disputes are not successful, KEYMONO and the affiliate may choose to take legal action in a court of competent jurisdiction.
KEYMONO reserves the right to choose the most appropriate mechanism for resolving any disputes, and to pursue any legal remedies it deems necessary to protect its interests.
a) Entire Agreement: This Affiliate Program Terms & Conditions constitutes the entire agreement between KEYMONO and its affiliates, and supersedes all prior or contemporaneous communications, agreements, representations, and understandings between KEYMONO and its affiliates. This agreement may not be amended except in writing signed by KEYMONO.
b) Assignment of Agreement: KEYMONO may assign its rights and obligations under this agreement at any time, without prior notice to the affiliate. The affiliate may not assign its rights or obligations under this agreement without the prior written consent of KEYMONO.
c) Severability: If any provision of this agreement is held to be invalid, illegal or unenforceable, such provision shall be severed from this agreement and all other provisions shall remain in full force and effect.
d) Waiver: The failure of KEYMONO to enforce any provision of this agreement shall not constitute a waiver of such provision or limit KEYMONO’s right to enforce such provision at a later time.
e) Survival: The provisions of this agreement that by their nature should survive termination shall survive termination, including, without limitation, commissions, payment terms, ownership provisions, warranty disclaimers, and limitations of liability.
